Terms & Conditions (Including Return, Refund & Cancellation Policy)
Notice: By placing an order on this Site, you confirm that you have read and agreed to the Terms & Conditions, including the Return, Refund & Cancellation Policy, final-sale rules for food items, and wholesale/bulk order terms.
Effective Date: 01/01/2026
These Terms & Conditions (“Terms”) govern your access to and use of the Lekali Foods Inc. website (“Site”) and any purchases made through the Site. By visiting the Site, creating an account, or placing an order, you agree to these Terms.
If you do not agree, do not use the Site or place an order.
1) Company Information
Lekali Foods Inc. (“Lekali,” “Lekali Foods,” “we,” “us,” “our”) sells food and related products through retail and wholesale/bulk channels.
2) Eligibility, Accounts, and Security
- You represent that you are at least 18 years old and able to enter into a binding agreement.
- You agree that all information you provide is accurate and up to date.
- You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
- We may suspend, restrict, or terminate accounts (and refuse service) at any time for suspected fraud, abuse, chargebacks, policy violations, or other conduct we deem harmful to our business.
3) Orders, Acceptance, and Right to Refuse
- Your order is an offer to buy. We may accept or reject any order in our sole discretion.
- We may cancel or limit quantities for any reason, including inventory limits, suspected fraud, pricing errors, address issues, carrier limitations, or policy violations.
- If we cancel after payment is captured, we will refund the captured amount (subject to Section 9 for fees where permitted).
4) Product Information and Packaging Variations
- We aim for accurate product descriptions and images, but we do not guarantee that product images, labels, packaging, weights, or appearance will be identical across batches.
- Packaging changes, cosmetic variations, and routine transit scuffs that do not affect product integrity are not considered defects.
5) Pricing, Promotions, and Errors
- Prices and availability may change without notice.
- Promotions and discount codes may be modified or discontinued at any time and may exclude certain products or order types.
- If a product is listed at an incorrect price or with incorrect information, we may cancel the order or correct the issue in our discretion.
6) Payments
- You authorize us to charge the payment method provided for your order total, including product price, taxes, shipping, and any applicable fees.
- We may require additional verification before processing any order.
- We may reject or hold orders with elevated fraud risk.
7) Shipping, Delivery, Address Responsibility, and Risk of Loss
Shipping Estimates
Shipping Rates, Carrier Fees, and Surcharges. Shipping charges displayed at checkout (or quoted for wholesale/bulk orders) are based on the information available at the time of purchase, including package weight, dimensions (including dimensional weight), destination, service level, and carrier rules. Carriers (including UPS) may apply additional charges such as residential delivery fees, delivery-area surcharges, address correction fees, additional handling/large package fees, re-delivery fees, appointment fees (for businesses), and fuel or peak surcharges. You agree that you are responsible for applicable carrier fees caused by inaccurate or incomplete address information, restricted access, failed delivery/receipt, or customer-requested changes. We may charge these fees to your original payment method to the extent permitted by law, or we may require payment before re-shipment.
Replacements or refunds for “delivered” shipments are not guaranteed and may be denied in our discretion.
Address Accuracy
You are solely responsible for providing a complete and correct address (including unit/suite and correct phone number). We are not responsible for:
- returned shipments due to incorrect/incomplete addresses
- delays due to address correction requests or carrier issues
Risk of Loss
To the maximum extent permitted by law, risk of loss and title pass to you when the shipment is tendered to the carrier.
Delivered but Not Received
If tracking shows “delivered,” you must first contact the carrier and local delivery location (mailroom, neighbors, building management). We may assist with carrier claims but do not guarantee replacements for “delivered” scans.
8) Food Safety and No Return Standard
Because we sell food and consumable products, we maintain strict safety and traceability standards. Once products leave our custody, we generally cannot accept returns or exchanges.
Customers are responsible for proper storage and handling immediately upon delivery. We are not responsible for quality issues caused by improper storage, mishandling, or temperature exposure after delivery.
9) Return, Refund & Cancellation Policy
This policy is designed to protect food safety and business operations. Different rules apply to Retail and Wholesale/Bulk orders.
9.1 Definitions
- Retail (DTC): Purchases for personal use.
- Wholesale/Bulk (B2B): Purchases for resale or commercial use, including store, restaurant, distributor, or organization orders.
- Final Sale: Items marked “Final Sale,” “Clearance,” or otherwise designated as non-returnable.
9.2 Retail (DTC) Cancellation Policy
- Retail cancellations are permitted only within 2 hours of order placement and only if the order has not entered fulfillment (picked, packed, labeled, or shipped).
- Once fulfillment begins, retail orders cannot be canceled, changed, or rerouted.
9.3 Retail (DTC) Returns and Refunds
All food and consumable products are final sale. We do not accept returns or exchanges, including for:
- opened items (even partially)
- used items
- items without original packaging
- items stored improperly after delivery
- final sale/clearance items
Retail Claims for Damage, Wrong Item, or Missing Item
We will consider a replacement, store credit, or refund (at our discretion) only if:
- you notify us within 48 hours of delivery, and
- you provide your order number and clear photos of the shipping box, shipping label, inner packaging, and the affected item(s)
Shipping and carrier charges are non-refundable except where required by law or where we determine, in writing, that the error was ours.
9.4 Wholesale/Bulk (B2B) Cancellation Policy
- Wholesale/bulk cancellations are permitted only within 24 hours of order confirmation/invoice and only if the order has not been allocated, packed, labeled, or shipped.
- Once wholesale/bulk fulfillment begins, the order cannot be canceled or reduced.
9.5 Wholesale/Bulk (B2B) Returns and Refunds
All wholesale/bulk sales are final once processed or shipped. We do not accept returns for:
- over-ordering, buyer’s remorse, or slow-moving inventory
- minor packaging scuffs or cosmetic carton damage that does not impact product integrity
- issues caused by improper storage, handling, or temperature exposure after delivery
- expiration due to delayed sell-through (unless shipped outside agreed date terms in writing)
- Shipping and carrier charges are non-refundable except where required by law or where we determine, in writing, that the error was ours.
Wholesale/Bulk Claims for Damage, Shortage, or Incorrect Items
We will consider a replacement, credit, or refund (at our discretion) only if:
- you report issues within 3 business days of delivery
- you provide invoice/PO number and photos of outer cartons/pallet, inner packaging, labels, and affected quantities
- for visible freight damage, you note damage on the carrier delivery receipt when possible
Freight/shipping charges are non-refundable unless we determine the error was ours.
9.6 Refused, Undeliverable, or Returned Shipments (Retail and Wholesale)
If a shipment is refused, returned, or undeliverable due to customer-side issues (incorrect address, closed business, no receiver, failed appointment, access restrictions), you are responsible for:
- original shipping/freight charges
- re-delivery charges
- return shipping charges (if returned)
- carrier fees (including waiting time, storage, appointment fees, liftgate, or address correction)
Any refund (if permitted) will be reduced by applicable shipping and handling costs and subject to food safety limitations.
This includes any carrier-assessed fees based on dimensional weight, address correction, residential delivery, delivery-area surcharge, additional handling/large package, re-delivery, appointment, storage, or waiting time.
9.7 Refund Method and Timing
- Approved refunds are issued to the original payment method unless we choose to issue store credit.
- Refund processing typically takes 5–10 business days after approval, plus bank processing time.
- We do not refund shipping costs except where required by law or where we determine the error was ours.
9.8 Chargebacks and Disputes
You agree to contact us first to attempt resolution before filing a dispute. Excessive or improper chargebacks may result in account restriction, refusal of future orders, and wholesale accounts being moved to prepay-only terms.
10) Wholesale Account Terms (Additional Protections)
For wholesale/bulk accounts, we may set or change, at our discretion:
- minimum order quantities
- case pack requirements
- payment terms and credit limits
- delivery appointment requirements
- holds for past-due invoices or unresolved disputes
11) Intellectual Property
All Site content, product names, logos, trademarks, text, and images are owned by or licensed to Lekali Foods and may not be used without written permission.
12) Prohibited Conduct
You agree not to:
- misuse the Site, attempt unauthorized access, or interfere with security
- submit false claims, fraudulent disputes, or manipulated evidence
- use the Site for unlawful or abusive purposes
13) Disclaimers
To the maximum extent permitted by law:
- The Site and products are provided “as is” and “as available.”
- We disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
- We do not guarantee uninterrupted Site access or error-free content.
(Some jurisdictions do not allow certain disclaimers, so portions may not apply to you.)
14) Limitation of Liability
To the maximum extent permitted by law:
- Lekali Foods will not be liable for indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claim will not exceed the amount you paid for the specific order giving rise to the claim.
15) Indemnification
You agree to indemnify and hold Lekali Foods harmless from claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or unlawful conduct.
16) Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any permitted legal action must be brought in state or federal courts located in New York County or Queens County, New York, unless otherwise required by law.
17) Changes to Terms
We may update these Terms at any time by posting an updated version on the Site. The Terms in effect at the time you place an order apply to that order.
